Evernorth Holdings (Nasdaq: XRPN) filed to sell up to 5,218,935 new Class A shares to CF Principal Investments LLC, a Cantor Fitzgerald affiliate, under a committed equity facility dated Oct. 23, 2026, potentially raising up to about $80.7M gross.
The company itself said it entered an equity line for approximately $80 million and, as market conditions allow, intends to use proceeds for general corporate purposes, including acquisition of XRP and product development in the XRP ecosystem. The SEC 8-K filing describes the same facility, at 97% of VWAP, at Evernorth's sole discretion over about 14 months.
Its existing treasury is about 473 million XRP, as Evernorth disclosed alongside institutional partners Ripple, Kraken, Coinbase and BitGo, and as CoinDesk restated in the raise report.
At current spot around $1.30 on Binance, that treasury is worth roughly $615M, so the full facility would add about 13% more XRP if fully deployed to buys.
