SVRN’s reported FastNEAR acquisition gives the NEAR treasury company its first operating business; it does not resolve the delayed annual filing that drives Nasdaq delisting risk.
The deal
SVRN says FastNEAR is now its wholly owned subsidiary. Its founders, Evgeny Kuzyakov and Mike Purvis, joined SVRN. The company describes FastNEAR as NEAR RPC, archival and data infrastructure serving more than 3.5 billion requests and over 100 terabytes of data in a typical month. The purchase price was not disclosed. SVRN’s announcement and the October 9 Form 6-K report the acquisition. CEO Sal Ternullo says the business adds an operating position whose value depends on network usage, and that SVRN intends to invest in reliability and capacity. The company also acknowledges the cost and execution risk if usage does not grow. Ternullo’s post
What it means for SVRN
The acquisition adds infrastructure operations, paying customers and engineering capability alongside the company’s NEAR treasury, according to SVRN. It broadens the business beyond holding NEAR, but the disclosed materials give no purchase price or financial contribution with which to measure its near-term effect. SVRN’s announcement
Nasdaq risk
The supplied assessment says the FY2025 20-F remains delayed, places the staff exception deadline on October 27, and estimates a possible delisting determination around October 28–30, with a hearing request potentially extending the timeline to about April 26, 2027. It estimates 12-month delisting odds at about 15%. Those dates and odds are the author’s assessment, not a determination in the October 9 filing. That filing reports the acquisition; it does not itself document a Nasdaq notice or show that the overdue 20-F has been filed. October 9 Form 6-K The acquisition therefore does not, on the available record, change the filing-related delisting risk. SVRN’s legal name changed from OceanPal Inc. to SVRN, Inc., effective August 27, 2026. August 27 Form 6-K
