Super League stockholders approved the Metaplanet deal at the annual meeting held Oct. 16, 2026, clearing one major hurdle but the transaction has not closed yet (press release).
Under the Aug. 18 definitive agreement, Metaplanet via Metaplanet Holdings will contribute 2,100 BTC plus $2.5M cash at closing in Q4 2026, subject to customary conditions including Nasdaq filings (press release).
The 2,100 BTC was valued at about $132.1M on the Aug. 14 reference price and about $170.0M on Oct. 16, with the share count fixed so it does not float with BTC (press release).
At closing Metaplanet gets 44,859,400 common shares at $3.00, plus 100 convertible perpetual preferred shares and 10-year warrants for up to 381M shares in four tranches from $3.00 to $33.50, with a 5-year lockup on the closing and conversion shares (press release).
It also gets a 24-month right to buy up to 2.1M junior liquidity preferred shares at $100 stated value, or up to an extra $210M (press release).
On closing Super League becomes Superplanet, Inc. trading as SUPA on Nasdaq, keeping its ad/media business and CEO Matt Edelman (press release).
Commentary framed it as Metaplanet's US Bitcoin treasury platform for US debt and equity access (BSCNews), with Cointelegraph and BitcoinArchive flagging approval, the latter claiming a 93.7% stake which the release itself does not state.
For context Metaplanet reported 44,000 BTC on Sept. 30 after selling 10,000 and rebuying 11,000 BTC in Q3 (Gerovich).
